1. Acceptance of Terms
By accessing or using the Ludus United platform ("Ludus", "we", "our", or "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our platform.
2. Platform Overview
Ludus United is a social enterprise that facilitates charitable auctions of authenticated athlete memorabilia. Athletes donate match-worn and personal items; registered users place bids; 100% of net proceeds (after the 20% platform operating fee) are directed to athlete-selected humanitarian charities.
3. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to participate in auctions. By creating an account, you represent and warrant that you meet this requirement. Ludus reserves the right to refuse service to anyone at its sole discretion.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@ludusunited.com of any unauthorised use of your account. We are not liable for any loss arising from failure to comply with this obligation.
5. Bidding & Purchases
All bids are binding offers to purchase. By placing a bid, you agree that if you are the winning bidder you will complete the transaction at the bid amount plus any applicable fees. Failure to complete a winning purchase may result in account suspension. Anti-sniping protection extends auction countdowns by 2 minutes when a bid is placed in the final 2 minutes of an auction.
6. Payments & Fees
All prices are displayed in EUR unless otherwise stated. Payment is due immediately upon winning an auction. We use third-party payment processors; your payment information is subject to their privacy policies. Twenty percent (20%) of every sale is retained by Ludus United to operate and grow the platform; the remaining eighty percent (80%) is transferred directly to the designated charity.
7. Authentication & Provenance
Ludus employs NFC chip embedding and blockchain certification to authenticate items. While we take reasonable steps to verify authenticity, we make no absolute guarantee of provenance. If an item is later determined to be inauthentic, our sole liability is to provide a full refund of the purchase price.
8. Athlete & Charity Partners
Athletes and charities are vetted by Ludus United prior to listing. We reserve the right to remove any listing or partner at our discretion. Ludus acts as an intermediary and is not responsible for the actions or representations of athlete or charity partners beyond our vetting process.
9. Intellectual Property
All content on the Ludus platform — including text, images, logos, and design — is the property of Ludus United or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
10. Prohibited Conduct
You agree not to: place bids with no intention of completing a purchase; manipulate auction outcomes through shill bidding or coordinated activity; use the platform for any unlawful purpose; attempt to gain unauthorised access to any part of the platform; or upload content that is defamatory, fraudulent, or infringes third-party rights.
11. Limitation of Liability
To the fullest extent permitted by law, Ludus United and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform. Our total liability for any claim shall not exceed the amount you paid for the specific item giving rise to the claim.
12. Disclaimer of Warranties
The platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses.
13. Privacy
Your use of Ludus is also governed by our Privacy Policy. By using the platform, you consent to the collection and use of information as described therein.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict-of-law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
15. Changes to Terms
We reserve the right to update these Terms at any time. We will notify registered users of material changes by email or in-platform notification. Continued use of the platform after changes become effective constitutes your acceptance of the revised Terms.
